1. Acceptance of Terms

By accessing, purchasing, or using any service provided by Ultimate Lead Systems—including but not limited to verified lead delivery, list cleaning, or AI automation support—you agree to be bound by these Terms and Conditions. These terms form a legally binding agreement between you and Ultimate Lead Systems and govern your use of our services. If you do not agree to any part of these terms, please refrain from using our services.

2. Services Provided

Ultimate Lead Systems provides data services and automation tools exclusively for My Tool Box Pro Prestige and Elite subscribers.

Services include:

Verified B2B, B2C & 1099 lead lists

Email list cleaning and verification

Delivery of leads via spreadsheet or direct upload to your Tool Box

AI-powered chatbot tools for follow-up and engagement

By using these services, you confirm that you are at least 18 years of age, a verified subscriber of My Tool Box Pro, and legally authorized to use this data for business purposes in accordance with applicable laws, including California law, the CAN-SPAM Act, TCPA, GDPR (if applicable), and the CCPA.

3. Authorization & Data Handling

You may be required to provide temporary access credentials or approve integration connections during onboarding. Ultimate Lead Systems will use this access only to fulfill the services you have requested. We do not store passwords or retain confidential credentials after setup. All data is securely managed and used exclusively for your account's performance.

4. Lead Delivery & Automation Tools

Leads are delivered through email or uploaded to your account dashboard. AI tools or chatbot automations may be included to support engagement. These tools are informational only and should not be relied upon as a replacement for human decision-making or professional advice.

5. Performance Disclaimer

While leads are verified using industry-standard methods at the time of delivery, Ultimate Lead Systems does

not guarantee:

Email open or response rates

Conversion or engagement metrics

Revenue generation

Long-term accuracy of contact data

Leads may become outdated over time. You are solely responsible for how the leads are used after delivery.

6. Intellectual Property

All tools, frameworks, templates, automation systems, and content provided by Ultimate Lead Systems remain the exclusive intellectual property of My Tool Box Pro. You are granted a limited, non-transferable license to use these materials for your own business. You may not reproduce, distribute, or resell any materials without prior written consent.

7. Payment & Billing

All services are billed in advance. You are responsible for maintaining an up-to-date payment method. Billing is typically conducted monthly or per order, depending on your selected service package.

8. Refund Policy

All sales are final. Due to the nature of our services—especially lead generation and data delivery—no refunds will be issued once leads or services have been delivered. This policy ensures the integrity and confidentiality of data once accessed.

However, in the rare case that a technical error occurs on our end (such as a corrupted file, incomplete delivery, or upload failure), we will investigate the issue and provide a corrected delivery at no additional cost. To report a technical error, please contact our support team within 3 business days of receiving the file.

This policy is fully compliant with California Civil Code Section 1723 and other applicable consumer protection laws related to digital services and custom deliverables.

9. Cancellation Policy

For recurring services, a minimum of 7 days’ notice must be provided in writing before the next billing cycle to cancel without further charges. Cancellations must be sent via email to: [email protected]

10. Confidentiality

We respect your privacy and handle all submitted information—including brand materials, account access, and business data—with strict confidentiality. This information will only be used to provide your requested services and will never be shared with unauthorized third parties. In compliance with the California Consumer Privacy Act (CCPA), you may request a copy or deletion of your data at any time.

11. Limitation of Liability

To the fullest extent permitted by law, Ultimate Lead Systems is not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities. Our total liability under any claim shall not exceed the amount you paid to us within the 60 days prior to the claim.

12. AI Chatbot Disclaimer

If you utilize our AI-powered chatbot tools, you understand:

They do not provide legal, financial, or marketing advice

You assume full responsibility for interpreting and applying responses

They are subject to limitations, and their use does not constitute human expertise

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved exclusively through binding arbitration in Orange County, California, under the rules of the American Arbitration Association. You waive your right to a trial by jury and to participate in class action lawsuits.

14. Modifications to Terms

We may revise these Terms and Conditions at any time. Updates will be posted to our website and/or sent to your registered email address. Continued use of our services after such updates constitutes your acceptance of the new terms.
